Article 1: Nature of Services

DE SOUZA SILVA CONSULTANCY L.L.C-FZ (the “Firm”) provides strategic management, institutional governance, and private performance advisory.

• Non-Regulated Status: The Client acknowledges that the Firm is a management consultancy and not a law firm or financial institution.
• No Legal Practice: While the Principal holds a Bachelor of Laws (LL.B.) and a Post-Graduate Diploma in Public Law, the services provided through this UAE entity do not constitute legal representation, legal advice, or the practice of law within the United Arab Emirates or any other jurisdiction.

2. The Principal-Led Mandate

All mandates are accepted on a selective basis. The “Analytical Engine” methodology is proprietary to the Firm.

• Direct Oversight: Engagements are personally overseen by Harrison de Souza Silva Jr.
• Scope of Work: The specific deliverables, timelines, and objectives will be defined in a separate Letter of Engagement or Strategic Briefing issued prior to the commencement of services.

3. Confidentiality & The “Weight of Silence”

Given the high-stakes nature of our Private Advisory and Corporate Strategy pillars:

• Absolute Discretion: Both parties agree to maintain strict confidentiality regarding the existence and nature of the engagement.
• Data Protection: All client data is handled in accordance with our Privacy & Data Sovereignty Policy, overseen by our Principal’s MBA standards in information governance.

4. Intellectual Property

All frameworks, methodologies, and documents provided—including the Manual Secreto do Contragolpe—are the exclusive intellectual property of the Firm.

• Limited License: The Client is granted a non-transferable license to use these materials for their personal or internal corporate use only. Reproduction or distribution to third parties is strictly prohibited.

5. Professional Fees & Engagements

• Terms: Fees are structured based on the complexity of the mandate and are payable as outlined in the Letter of Engagement.
• Refund Policy: Due to the bespoke, time-intensive nature of strategic advisory, fees for initiated mandates are generally non-refundable unless otherwise specified in writing.

6. Limitation of Liability

The Firm provides strategic foresight and analytical frameworks. The Client remains the final decision-maker.

• Outcome Disclaimer: While our methodology is forged in “Zero-Failure” environments, the Firm is not liable for the specific commercial or personal outcomes resulting from the implementation of the strategy by the Client.

7. Governing Law & Jurisdiction

These Terms of Engagement are governed by the laws and regulations of the Meydan Free Zone and the United Arab Emirates. Any disputes arising from this relationship shall be resolved through the competent authorities in Dubai.
